Welcome to rotimicreative.com. This website is owned and operated by Rotimi Ajayi-Dopemu referred to as “Rotimi Creative” in the terms and agreeements. By visiting our website and accessing the information, resources, services, products, and tools we provide, you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereafter referred to as the ‘User Agreement’), along with the terms and conditions as stated in our Privacy Policy (please refer to the Privacy Policy section below for more information). 

This agreement is in effect as of 9/12/24. 

We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment and agreement of the modified terms and conditions. 

Responsible Use and Conduct 

By visiting our website and accessing the information, resources, services, products, and tools we provide for you, either directly or indirectly (hereafter referred to as ‘Resources’), you agree to use these Resources only for the purposes intended as permitted by (a) the terms of this User Agreement, and (b) applicable laws, regulations, and generally accepted online practices or guidelines. 

Wherein, you understand that: 

1. In order to access our Resources, you may be required to provide certain information about yourself (such as identification, contact details, etc.) as part of the registration process or as part of your ability to use the Resources. You agree that any information you provide will always be accurate, correct, and up to date.
2. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources. Accordingly, you are responsible for all activities that occur under your account(s).
3. Accessing (or attempting to access) any of our Resources by any means other than through the means we provide is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical, or unconventional means.
4. Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited.
5. Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources is strictly prohibited.
6. You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.
7. We may provide various open communication tools on our website, such as blog comments, public chat, forums, message boards, product ratings, and reviews, etc. You understand that we do not pre-screen or monitor the content posted by users. By posting information or otherwise using any open communication tools, you agree that you will not upload, post, share, or otherwise distribute any content that:

1. Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, or invasive; 

1. Infringes on any trademark, patent, trade secret, copyright, or other proprietary right; 

1. Contains any unauthorized advertising; 

1. Impersonates any person or entity, including any Rotimi Creative employees or representatives. 

We have the right at our sole discretion to remove any content that we feel does not comply with this User Agreement, along with any content that we feel is otherwise offensive or violates any 3rd party copyrights or trademarks. If you post content that we choose to remove, you consent to such removal and waive any claim against us. 

1. We do not assume any liability for content posted by you or any 3rd party users. However, any content posted by you using any open communication tools, provided that it doesn’t violate any 3rd party rights, becomes the property of Rotimi Creative, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display, and/or distribute as we see fit.

Pricing and Payment 

Prices for services provided by Rotimi Creative are subject to change at our sole discretion. We will provide 30 days of access to online resources related to your work and account in the event of non-payment or a pricing disagreement, giving you time to resolve outstanding payments or disputes. We reserve the right to terminate access to resources if no resolution is reached after this period. 

Rotimi Creative offers payment options via Credit Card or PayPal. When subscribing to our services, clients agree to the following payment terms based on their chosen plan:

• Diamond, Gold, Silver Plan: Requires six (6) months of payment upfront.
• Non-Refundable Policy: All upfront payments are non-refundable once the Startup phase of your project is completed.

By subscribing, you acknowledge that while you may choose to own your domain name, your website remains the property of Rotimi Creative during your subscription. You may also elect to have your domain managed by Rotimi Creative. You may request access to your data at any time during your subscription, but the website structure, design, and backend remain the intellectual property of Rotimi Creative.

Cancellation Terms

To cancel your subscription with Rotimi Creative, you must notify us via email or phone. Upon receiving and verfiying that you own the account for the cancellation request, we will complete the cancellation process within 30 days after the current billing cycle ends.

• Domain Transfer: In the event of cancellation, if you wish to transfer your domain name to another service provider, Rotimi Creative charges a domain transfer fee. The current transfer fee will be provided at the time of your request. This fee covers administrative costs associated with the domain transfer process.
• Website Purchase: If you wish to move your website to another service provider, you must purchase the site from Rotimi Creative. Pricing will be determined based on the specific requirements.
• Service and Data Transfer: Any services or data that do not interfere with the normal business operations of Rotimi Creative will be transferred to you at a rate agreed upon before cancellation. This includes design elements, content, and any other data not tied to the proprietary systems of Rotimi Creative.

By agreeing to these terms, you understand and accept the outlined payment and cancellation policies associated with your website subscription.

Dispute Resolution 

Any disputes arising from this User Agreement or your use of the website or our services shall be settled out of court through mediation. The initiating party will bear the costs of mediation. If mediation does not result in a resolution, the dispute will proceed to other legal avenues if necessary. 

Limitation of Warranties 

By using our website, you understand and agree that all Resources we provide are “as is” and “as available.” This means that we do not represent or warrant that: 

1. i) The use of our Resources will meet your needs or requirements; ii) The use of our Resources will be uninterrupted, timely, secure, or free from errors; iii) Any defects in the operation or functionality of our Resources will be repaired.

Furthermore, you understand and agree that: 

1. iv) Any content downloaded through the use of our Resources is done at your own risk, and you are solely responsible for any damage to your computer or device, or any loss of data that may result; v) No information or advice, whether expressed, implied, oral, or written, obtained by you from Rotimi Creative shall create any warranty, except for those expressly outlined in this User Agreement.

Termination of Use 

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our website and Resources with or without notice and for any reason, including breach of this User Agreement. Upon suspension or termination, your right to use our Resources will immediately cease. We reserve the right to remove or delete any information you have on file with us, including account information and digital files. 

Privacy 

Your privacy is important to us, which is why we’ve created a separate Privacy Policy to explain in detail how we collect, manage, process, secure, and store your private information. Our Privacy Policy is included under the scope of this User Agreement. 

Limitation of Liability 

You expressly understand and agree that any claim against us shall be limited to the amount you paid for use of products or services. Rotimi Creative will not be liable for any direct, indirect, incidental, or consequential loss or damages which may be incurred by you as a result of using our Resources. 

Governing Law 

This website is controlled by Rotimi Creative from our offices in California, United States. It can be accessed by most countries around the world. By accessing our website, you agree that the statutes and laws of California will apply to all matters relating to the use of this website and the purchase of products or services.
